General Terms and Conditions
These terms apply to proposals and assignments between herants and business clients. They are written for organisations, not for consumers.
Last updated 19 August 2026
Scope
These terms apply to every proposal, order confirmation and assignment between WOLLF bv, trading as herants, and a client acting for business purposes. Where a signed proposal or statement of work says something different, that document takes precedence for the assignment it covers.
Purchasing conditions of the client do not apply unless we accept them in writing.
Proposals and assignments
Proposals are valid for 30 days unless stated otherwise. An assignment starts when the client approves the proposal in writing, including by email.
Deliverables, phases and assumptions are described in the proposal. Work that falls outside the described scope is agreed separately before it starts.
Collaboration and timelines
Good work needs timely input. The client provides the information, content, access and decisions we need. Planned dates shift when input, approvals or third-party dependencies are delayed.
We may involve trusted specialists in an assignment. herants remains your point of contact and stays responsible for the delivery.
Fees and payment
- Fees are exclusive of VAT and of third-party costs such as licences, media budgets, photography or hosting.
- Invoices are payable within 30 days of the invoice date unless the proposal states otherwise.
- For longer assignments we invoice per phase or per month.
- Late payment gives us the right to charge statutory interest and to suspend work after written notice.
Intellectual property
On full payment, the client receives the rights to the final delivered results for the agreed use. Concepts, routes not chosen, working files, internal methods, templates and reusable components remain ours.
Third-party materials such as typefaces, stock imagery and software keep their own licences. The client is responsible for maintaining those licences after delivery.
We may reference the assignment and show delivered work in our portfolio, unless the client asks us in writing not to.
Software and AI-assisted tools
We use professional software and, where it helps, AI-assisted tools for research, drafting, production and code. A human reviews and takes responsibility for everything we deliver.
We do not put client confidential material into tools that would train public models on it. If an assignment requires specific tooling restrictions, we agree them in writing.
Confidentiality and data
Both parties keep confidential information confidential and use it only for the assignment. Where we process personal data on behalf of the client, we do it on instruction and, where required, under a separate data processing agreement.
Liability
We work with care and to professional standards. Our liability for an assignment is limited to the fees invoiced for that assignment, and to direct damage. We are not liable for indirect damage such as lost profit, lost revenue, lost data or reputational damage.
These limitations do not apply in the case of fraud or intentional misconduct.
Termination
Either party may end an assignment in writing with 30 days notice. Work performed, commitments already made and work in progress up to the end date are invoiced.
Applicable law
Belgian law applies. Disputes belong to the courts competent for the registered seat of WOLLF bv in Antwerp, unless we agree in writing to another route first.
